Agreement to terms
These Terms of Service ("Terms") govern your access to and use of stateofstick.co (the "Site") and the products and services offered by State of Stick, Co., a product line of TechBinBytes Laser Goods ("State of Stick," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
The products and services we offer
- Retail emblems — current drops and one-offs sold through our Depop storefront.
- Custom and commissioned emblems — bespoke designs quoted on a per-project basis.
- Wholesale — curated displays and assortments for retailers.
- Brand activations and statement pieces — larger installations and commissioned work.
- Connected venue activations — hero installations, sponsor zones, VIP or team-store moments, dashboards, reporting, signal hardware, and related program support.
- Digital services — NFC/QR access points, microsites, landing pages, dashboards, reporting, app links, scoreboard QR, and related offerings.
Orders and purchases
Retail emblem purchases are completed on our Depop storefront and are subject to Depop's terms, payment processing, and buyer-protection policies in addition to these Terms. Custom, wholesale, brand-activation, and digital-services engagements are governed by the specific quote, proposal, or agreement we provide for that project, which controls if it conflicts with these Terms.
Proposals, pitch pages, and evaluation materials
- Proposal pages, concept pages, decks, mockups, demonstrations, estimates, and discussions are preliminary evaluation materials unless incorporated into a mutually signed written agreement.
- These materials do not constitute a binding offer, promise, warranty, partnership, endorsement, agency relationship, joint venture, fiduciary relationship, license, assignment, or commitment to proceed.
- Viewing a proposal page—including a page marked private, noindex, proprietary, or intended for a named recipient—does not by itself create an NDA or confidential relationship. If confidentiality is required, it must be established in an appropriate written agreement.
- Deliverables, pricing, deposits, payment schedules, dates, quantities, performance obligations, exclusivity, territories, media rights, data rights, publicity, brand use, approvals, intellectual-property ownership, and cancellation rights exist only as stated in the controlling signed agreement.
- Third-party names and marks may be used to identify an intended recipient or illustrate an unsolicited concept. Such use does not imply approval, affiliation, sponsorship, certification, or endorsement.
Connected activations and venue approvals
Connected activations may depend on venue rules, sponsor approvals, signage permissions, wireless policies, app participation, platform availability, and end-user consent flows. Unless a written agreement says otherwise, the client is responsible for securing venue approvals, sponsor approvals, rights to submitted materials, required notices, and end-user consent for experiences operated in the client's venue, app, or owned channels.
Tap and scan moments are our default public access paths because they are intentional, no-app interactions. Venue-app links, scoreboard prompts, sponsor moments, or other signal features are scoped only where the experience, notice, and consent model support them. We may decline, disable, or revise any activation that would require hidden tracking, unlawful data collection, or a use we consider unsafe or misleading.
Pricing and payment
Prices are listed in U.S. dollars and may change without notice. Quotes for custom and commissioned work are valid for the period stated in the quote. Project work may require a deposit before we begin, as set out in the applicable agreement.
ArtPrize project support
- Payments support an independent artist project participating in ArtPrize. They are not charitable donations, are not represented as tax deductible, and do not make a payer an official ArtPrize sponsor or affiliate.
- Recognition, links, logos, state stories, QR/NFC experiences, and physical credits remain subject to artist approval, technical feasibility, hosting-venue approval, applicable event rules, and the written terms for the support level.
- Unless a separate written agreement says otherwise, State of Stick retains final artistic control and all copyright in the artwork and project-controlled creative materials.
- Refunds, reversals, changes in recognition, and any expanded commercial or exclusivity rights must be documented in writing. A payment alone does not transfer ownership or creative rights.
Custom and commissioned work
- Custom pieces are produced to the specifications and approvals you confirm. Please review proofs carefully — we produce based on the approved design.
- Because custom and commissioned items are made to order, they are generally non-refundable and non-returnable except where required by law or stated in your agreement.
- Deposits cover design and setup work and may be non-refundable once work has begun, as described in your quote or agreement.
- Production schedules, delivery dates, material availability, color matching, third-party vendor timelines, rush work, installation, and subcontractor availability are estimates unless a signed agreement expressly says otherwise.
- No salesperson, contractor, or representative may change project terms, approve refunds, grant exclusivity, transfer intellectual-property rights, or bind us to custom obligations unless we confirm those terms in writing.
Shipping, returns, and damaged items
Retail orders are fulfilled and shipped through Depop, and returns or refunds for those orders follow Depop's policies. For custom, wholesale, and commissioned work, fulfillment, shipping, and any return terms are set out in your project agreement. Intellectual property
The Site and its content — including our designs, emblem artwork, logos, text, graphics, and the "State of Stick" and "TechBinBytes" brands — are owned by us or our licensors and are protected by intellectual-property laws. You may not copy, reproduce, resell, or create derivative works from our designs or content without our written permission.
State of Stick and TechBinBytes Laser Goods retain all right, title, and interest in their pre-existing and independently developed intellectual property, including StickLink, software, source code, systems, documentation, templates, methods, know-how, workflows, manufacturing processes, pricing methods, designs, artwork, concepts, data models, analytics methods, and improvements, except to the extent a signed agreement expressly states otherwise.
Public and proposal materials intentionally omit or generalize certain implementation details to protect proprietary methods, trade secrets, security practices, and confidential business information. Access to those materials grants no license, assignment, ownership interest, exclusivity, or right to reproduce, adapt, reverse engineer, scrape for commercial replication, disclose, distribute, manufacture, or commercialize any protected material. This restriction does not prohibit rights that cannot lawfully be restricted.
Marks and attribution
State of Stick™, Persistent Retail™, StickLink™, StickLink Verify™, and Activation Intelligence™ are claimed marks of their respective owner. The ™ symbol indicates a claim of trademark rights and does not represent federal registration. Third-party company names, product names, logos, and marks belong to their respective owners. No third party is affiliated with or endorses State of Stick merely because it is named in an independent proposal or concept.
Your submissions
When you submit artwork, logos, photos, or other materials for custom work, you represent that you own or have the rights to use them and that they do not infringe anyone else's rights, violate privacy or publicity rights, create a false affiliation, or break any applicable law. You grant us the limited rights needed to review, design, quote, produce, document, and fulfill your project. You are responsible for the content of what you submit, and we may decline or stop projects at our discretion.
If you authorize public display, you also grant us a non-exclusive license to display the approved name, logo, description, link, story, or claim photo for the relevant project, product record, supporter page, or promotional documentation. You may withdraw optional future display permission by contacting us, subject to completed physical materials, archived documentation, and separate written agreements.
Electronic signatures and records
When you type your name and confirm required acknowledgements in one of our signing flows, you agree that the electronic action is intended as your signature. We may retain the signed document, timestamp, IP address, browser information, and acknowledgement record as evidence of the transaction.
Acceptable use
Do not use the Site to break the law, infringe others' rights, attempt to disrupt or gain unauthorized access to our systems, or submit spam or harmful content. We may restrict or terminate access for misuse.
You may not use our forms, signing flows, proposals, mockups, or custom services to create counterfeit goods, imply unauthorized sponsorship or affiliation, misuse trademarks, harass others, or submit unlawful, deceptive, defamatory, obscene, or harmful materials.
Disclaimers
The Site and our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Handmade and laser-cut products may have minor natural variations; product photos are representative and exact appearance may vary slightly.
We do not guarantee that any product, campaign, retail display, NFC/QR experience, venue activation, dashboard, sponsor report, proposal, or custom project will produce a specific business result, sales result, sponsorship result, legal result, or tax result. Digital, wireless, reporting, and signal-hardware features may depend on third-party devices, browsers, venue networks, app platforms, operating systems, hosting providers, sponsor materials, and platform availability outside our control.
Limitation of liability
To the fullest extent permitted by law, State of Stick and TechBinBytes Laser Goods will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, business-interruption, reputational, or third-party damages arising from your use of the Site, our products, proposals, mockups, custom work, digital services, or any delay or inability to use them. Where liability cannot be excluded, our total liability is limited to the amount you paid for the specific product or service giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless State of Stick, TechBinBytes Laser Goods, and their owners, contractors, suppliers, and representatives from claims, damages, costs, expenses, and reasonable attorneys' fees arising out of your submissions, requested designs, misuse of the Site or services, breach of these Terms, unauthorized use of third-party intellectual property, false affiliation claims, unlawful instructions, or violation of another person's rights.
Governing law
These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules. Any disputes will be handled exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue there, except where applicable law requires otherwise.
Eligibility and authority
You must be at least 18 years old to enter a paid project agreement or submit a binding authorization. If you act for a company or organization, you represent that you have authority to bind it.
Changes to these terms
We may update these Terms from time to time. Changes take effect when posted, and we will revise the "Last updated" date above. Continued use of the Site means you accept the updated Terms.
